1. Introduction

Welcome to EA Flow ("Platform", "Service", "we", "us", or "our"), operated by Outer Edge Limited, a company registered in New Zealand. These Terms of Service ("Terms") govern your access to and use of eaflow.ai and all associated services.

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

2. Definitions

• "Principal" means the account holder who owns the account and whose information is stored on the Platform.
• "Executive Assistant" or "EA" means any user granted access by a Principal to view and interact with the Principal's information on the Platform.
• "User" means any individual who accesses or uses the Platform, including both Principals and Executive Assistants.
• "Content" means any data, text, information, or materials uploaded, entered, or stored on the Platform.

3. Eligibility

You must be at least 18 years of age to use this Platform. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

4. Account Registration and Security

To access the Platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account.

5. Use of the Platform

5.1 Permitted Use

The Platform is provided for business and professional purposes to facilitate the management of information between Principals and their Executive Assistants. You agree to use the Platform only for lawful purposes and in accordance with these Terms.

5.2 Prohibited Conduct

You agree not to:

• Use the Platform for any illegal or unauthorised purpose
• Attempt to gain unauthorised access to any part of the Platform or its systems
• Interfere with or disrupt the Platform or servers connected to the Platform
• Upload or transmit viruses, malware, or other malicious code
• Reverse engineer, decompile, or disassemble any part of the Platform
• Use the Platform to infringe upon the rights of others

6. User Content and Data

6.1 Ownership

You retain ownership of the Content you submit to the Platform. However, by submitting Content, you grant Outer Edge Limited a non-exclusive, worldwide, royalty-free licence to use, store, process, and display such Content solely for the purpose of operating and improving the Platform.

6.2 Your Responsibility

You are solely responsible for the Content you submit to the Platform. You represent and warrant that you have all necessary rights to submit such Content and that the Content does not violate any applicable laws or third-party rights.

6.3 Data Shared at Your Own Risk

Any data you share on the Platform is done at your own risk. We do not take any responsibility for how the data is used by your Executive Assistant or any other users you grant access to. It is your responsibility to ensure that any individuals you authorise to access your information are trustworthy and bound by appropriate confidentiality obligations.

7. Artificial Intelligence Services

7.1 Third-Party AI Providers

The Platform utilises artificial intelligence services provided by third parties, including OpenAI (for database vectorisation) and Anthropic (for the AI chatbot assistant). By using the Platform, you acknowledge and agree that your Content may be processed by these third-party AI services via their respective APIs.

7.2 AI Accuracy Disclaimer

We make no guarantees regarding the accuracy, reliability, or completeness of any information generated by the AI services. AI-generated responses may contain errors, omissions, or inaccuracies. You should independently verify any information provided by the AI assistant before relying on it for any purpose.

7.3 Third-Party Terms

Your use of the AI features is also subject to the terms and policies of OpenAI and Anthropic. We are not responsible for any data processing conducted by these third-party providers.

8. Payment and Subscription

Access to the Platform requires a paid subscription. By subscribing, you agree to pay all applicable fees as described at the time of purchase. Fees are non-refundable except as expressly stated in these Terms or required by applicable law.

We reserve the right to modify our pricing at any time. Any price changes will be communicated to you in advance and will apply to subsequent billing periods.

9. Intellectual Property

The Platform, including all software, designs, text, graphics, and other content (excluding User Content), is the proprietary property of Outer Edge Limited and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and use the Platform for its intended purpose. This licence does not include any right to copy, modify, distribute, sell, or lease any part of the Platform.

10. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Platform will be available at all times or without interruption
• The Platform will be free from errors, bugs, or security vulnerabilities
• Any data stored on the Platform will be preserved or protected from loss
• The AI services will produce accurate or reliable results

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUTER EDGE LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of (or inability to access or use) the Platform.

Our total liability for any claims arising out of or relating to these Terms or the Platform shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Outer Edge Limited and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your violation of any rights of another.

13. Termination

We may terminate or suspend your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform will immediately cease.

You may terminate your account at any time by contacting us. Upon termination, we will retain your data for thirty (30) days, after which it will be permanently deleted.

14. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Platform. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of New Zealand, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of New Zealand.

For users in Australia, nothing in these Terms excludes, restricts, or modifies any consumer rights under the Australian Consumer Law that cannot be excluded, restricted, or modified by agreement.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Outer Edge Limited regarding your use of the Platform and supersede all prior agreements and understandings.
